What is a freelancer agreement?

A freelancer agreement (or independent contractor agreement) is the contract between a client and a freelancer for a piece of work. It sets out what will be delivered, by when, for how much, how payment works, how many revisions are included and who owns the result.

Clear terms protect both sides: the freelancer gets paid on time, and the client gets the rights to the work they paid for.

Freelancer agreement format

A freelancer agreement names the client and the freelancer, then lists clauses on services, timeline, fee and payment schedule, revisions, ownership of the work, confidentiality, independent contractor status, termination, liability and governing law. Both sign it.

Clients often deduct TDS on professional fees and give the freelancer a TDS certificate. GST-registered freelancers add GST to their invoices.

Rules that apply

A freelance contract is a contract

The agreement is enforceable under the Indian Contract Act when both parties agree to its terms for lawful consideration.

GST registration for freelancers

Freelancers supplying services must register for GST once their turnover crosses the threshold, or when supplying services outside their state or abroad in some cases.

Good to know

Do freelancers need a contract in India?

It's strongly advised. A written agreement on scope, fee and payment terms is your main protection if a client doesn't pay.

Who owns the work in a freelance contract?

Whatever the agreement says. This one transfers rights in the final deliverables to the client once they've paid in full.

Will the client deduct TDS from my fee?

Businesses usually deduct TDS on professional fees above the yearly threshold and give you a certificate you can use when filing your return.

Do I need to charge GST as a freelancer?

Only if you're GST-registered. Registration is needed above the turnover threshold, and in some other cases.

Does a freelancer agreement need stamp paper?

Agreements usually attract a small state stamp duty. E-stamping is quick, and an unstamped agreement can't be used as evidence until the duty is paid.

Is my data stored anywhere?

No. The agreement is made in your browser and its details never leave your device.
